Morgan Stanley, JPMorgan and Goldman Sachs Group Inc got the lead roles in the IPO, while Bank of America Merrill Lynch, Barclays Capital and Allen & Co also landed underwriting roles.
The banks were told that they had all made the cut during a commitment meeting on Tuesday, two sources familiar with the situation said. Generally, banks assuming these roles are told months in advance of a company filing for an initial public offering.
Facebook submitted its IPO documents to the U.S. Securities and Exchange Commission on Wednesday. The company expects to raise targeted $5 billion.
Two other sources familiar with the matter said on Wednesday that JPMorgan's months of schmoozing with Facebook executives paid off in the end. JPMorgan is ranked No. 4 among banks that advised on U.S. technology IPOs in 2011.
JPMorgan's Chief Executive Jamie Dimon, veteran rainmaker Jimmy Lee and other senior executives courted Facebook's Chief Operating Officer Sheryl Sandberg and Chief Financial Officer David Ebersman over the last year to help pave the way for the offering. Ebersman is leading the IPO process, one of the sources said.
As recently as December, Dimon visited Facebook's headquarters in Palo Alto, California, to establish its position within the team of bookrunners, the sources said.
Lee has had a business relationship with Sandberg for years, which has allowed him to learn about Facebook's culture among senior executives, one of the sources said.
Both Dimon and Lee saw Facebook as one of the next "Blue Chips," and JPMorgan stepped in early to build a commercial relationship, including spending millions of dollars to help Facebook build a data center, the source said.
The hard-won mandate is likely to bode well for JPMorgan's league table rankings.
Currently, JPMorgan is ranked after Morgan Stanley, Deutsche Bank and Goldman Sachs in the league tables for U.S. listed technology IPOs, according to Thomson Reuters data.
This counts because the banks may be doing the deal more for prestige than money. Facebook's IPO could set a new standard for how much investment banks are willing to lower their advisory fees to win big business [ID:nL2E8CQEDA].
Banks may offer their underwriting services for as little as 1 percent of gross proceeds, sources have said, compared with the 7 percent fee that smaller deals typically fetch, or the 2 or 3 percent that large deals tend to command.
The underwriters established their relationship with the social network company over the last year through investments and loans.
In December 2010 and January 2011, Goldman Sachs purchased 69.5 million shares of Facebook's Class A common stock for $1.45 billion, according to filing. In 2010 and 2011, Morgan Stanley purchased shares of Facebook's Class B common stock.
A year ago, Facebook entered into a credit agreement with five lenders, including Morgan Stanley, JPMorgan, Goldman Sachs, Bank of America Merrill Lynch, and Barclays to borrow up to $1.5 billion in revolving loans, according to the filing.
In September 2011, the credit agreement was amended to increase the borrowing capacity to $2.5 billion, the filing said.

NEW YORK (Reuters) - Wells Fargo & Co, JPMorgan Chase & Co and Lone Star Funds were the winners of the $9.5 billion pool of U.S. commercial real estate loan sold by failed lender Anglo Irish Bank Corp, two sources familiar with the deal said.
The sale marks one of the biggest since the downturn in U.S. commercial real estate four years ago.
It attracted more than two dozen buyers, said a source who was not authorized to speak on the record. The total price paid for all the loans was between $7 billion and $8 billion, the source said.
To attract a large pool of potential buyers, the portfolio was broken into eight separate pools according to the performance of the loans and the length to maturity.
The first three pools contained performing loans. JPMorgan was the winner of the first tranche comprising loans with a balance of about $1 billion to $1.5 billion, the source said.
Wells Fargo won the second and third tranches valued at about $3 billion to $3.5 billion, the source said. Wells Fargo recently bought a $1.4 billion performing loan portfolio from the failed Bank of Ireland for about par, another source said.
Global distressed debt and equity investor Lone Star won the remaining five pools of sub-performing and non-performing loans. The five pools have a face value of about $5 billion.
Those loans, which could lead to the buyer either getting the property or restructuring the loans, had attracted other private equity firms, such as TPG Capital LP and Blackstone Group LP.
The winners were notified Thursday night, another source said. Bloomberg first reported the story.
The sales are expected to close in October.
The pools have also been split along the lines of real estate types -- hotels, apartments, condominiums, offices and warehouses, according to an information sheet obtained by Reuters.
Anglo Irish and a spokesman for JPMorgan declined to comment. Representatives from Loan Star and Wells Fargo could not be reached for comment.
Other bidders who were either part of the first or second round of bids included Goldman Sachs Group Inc, Deutsche Bank AG, Vornado Realty Trust, Starwood Capital, and Torchlight Investors, an independent adviser focused on commercial real estate debt investments.
Anglo Irish was one of the most aggressive lenders during the U.S. commercial real estate boom of 2003-2007, but its risk strategy brought it and the Irish economy to the brink of collapse and forced Dublin to seek an 85 billion euros EU-IMF bailout last year.
Once the darling of the Irish stock market, Anglo Irish was nationalized in 2009 and is being wound down, after selling its deposits to former rivals and having ceased lending.
Its U.S. portfolio is its premium stock of assets, and a successful sale would represent a huge boost for the Irish government, which has vowed to radically shrink its banking sector and reduce its reliance on emergency funding from the European Central Bank (ECB).
The loans to be sold are secured by a diverse group of more than 280 properties, including office buildings in Massachusetts and retail properties in New Hampshire, South Carolina and Florida.
It also includes apartment buildings in New York City and Boston, warehouses and gas stations in the Midwest, and hotels from Florida to Maine.

Mongolia's parliament is likely to consider the decision before July 11, the source said.
"They are the preliminary winners and all the negotiation materials have already been submitted to the parliament for discussion," the official from Mongolia's Resources and Energy Ministry told Reuters by telephone.
"It only needs an approval from the parliament ... the intention is to have all three parties jointly develop Tavan Tolgoi," said the official, who did not want to be identified as the news was not public.
Tavan Tolgoi has estimated reserves of 7.5 billion tonnes of coal, including the world's largest untapped deposit of steel-making coking coal, attractive as a source of supply to steel makers such as ArcelorMittal China, Japan and South Korea are scouring the world and snapping up iron ore and coking coal assets to diversify from heavyweight suppliers such as BHP Billiton The focus has shifted to undeveloped Mongolia, which some analysts say could be one of the fastest-growing economies of the next decade because of its vast quantities of untapped mineral wealth. Last week, the Mongolian government said it had halved the shortlist of bidders for the western Tsankhi block to three from six, but it did not say whether it would cut the list further. Mongolian Prime Minister Sukhbaatar Batbold said last month that the government may share its Tavan Tolgoi project between three or four of the six bidders, media reports said. On Monday, Peabody and Shenhua were not available for comment, while a government official that oversees Korea Resource Corp said he had not been informed of any decision. Shares in Shenhua hit an intraday one-month high and closed up 3.2 percent in Hong Kong in a broader Hong Kong market <.HSI> up 1.6 percent. Mitsui climbed 1.5 percent in a strong Tokyo <.N225> market. Mongolia relies heavily on China for its commodities exports, but is in talks to access Russia's railways and ports as it looks to build new trade ties with other countries in the Far East. However, with the deposit located in the middle of a vast desert that has hardly any access to roads, rail lines and power, some observers have estimated that winners might need to pump in over $7 billion as an initial investment. Separately, the eastern Tsankhi coal block will be developed by state-owned Erdenes-Tavan Tolgoi Ltd. The government plans an initial public offering that could raise as much as $10 billion in funds to develop the field. The process of developing Tavan Tolgoi had dragged on over the past two years. This time, however, with the government planning to kick off the Erdenes-Tavan Tolgoi IPO to international investors by late 2011, it will be anxious to wrap up the auction of the western block to help underpin the valuation of east Tsankhi's coal resources, analysts said. Mongolia originally planned to sell as much as 49 percent of the whole Tavan Tolgoi field to a foreign bidder, but canceled the sale early last year in favor of 100-percent state ownership, with plans to only sign a development contract. Now, it has divided the deposit in its eastern and western parts, with the eastern section kept for Mongolia. GEOPOLITICAL The selection process has been heavily laden with political concerns, as Mongolia looks to boost its roughly $6 billion economy. "So far it feels like more of a geopolitical decision and commerce is sort of second," said Dale Choi, chief investment strategist at brokerage Frontier Securities in Ulan Bator. "The government is trying to involve all three, have a cooperation between all three groups. It will be complicated, since there are so many companies." Still, some analysts said the combination makes sense as both the Shenhua-Mitsui venture and the Russian-Korean-Japanese consortium lack experience in developing coking coal deposits.
